Listed below are corporate governance polices not included in Edison International’s Corporate Governance Guidelines or Board committee charters.

Corporate Political Contribution Policy

All political contributions made by the Edison International companies, the Edison International Political Action Committee or its Civic Action Committee must be approved by the applicable Vice President, Executive Vice President, and in some cases by the Chief Executive Officer and Board of Directors. On at least a semi-annual basis, the Board of Directors or an authorized Board committee will receive and review a written report on Edison International's political contributions policies that includes a list of all contributions for the specified period. 

In 2011, the Edison International companies have made membership dues and payments in excess of $50,000 to various trade associations.   These trade associations have reported to Edison International the portion of those dues and payments used for lobbying activities that are non-deductible under section 162(e)(1)(B) of the Internal Revenue Code.

Policy on Shareholder Rights Plans

Edison International will seek prior shareholder approval of the adoption of any shareholder rights plan unless, due to time constraints or other reasons consistent with the Board’s fiduciary duties, a committee consisting solely of independent directors determines that it would be in the best interests of Edison International shareholders to adopt the plan prior to shareholder approval.

Any rights plan adopted by the Board without prior shareholder approval will automatically terminate one year after adoption of the plan unless the plan is approved by shareholders prior to such termination.

Policy on Director Attendance at Annual Meetings

Director nominees are expected to attend the Edison International annual meeting of shareholders.
